ABV Dynamics – Terms and Conditions

Effective Date: October 15, 2025
Operator: ABV Dynamics Inc., a Delaware C-Corporation

By enrolling in the ABV Technical AI Accelerator (the “Program”), you, or your parent/legal guardian if under 18, agree to the following Terms and Conditions.

1. Program Nature

1.1 The Program is an independent, educational offering. It is not affiliated with any university, educational institution, or accrediting body.

1.2 Participation does not confer academic credit, professional licensure, or certification. Completion recognition is limited to a Certificate of Completion issued by ABV Dynamics.

1.3 Instruction is provided by JR, a current undergraduate and founder of ABV Dynamics, and is based on applied research, engineering experience, and self-directed study.

2. Eligibility

2.1 Participants must be at least 16 years old or have parental/guardian consent.

2.2 Participants are expected to have access to a computer with reliable internet capable of running browser-based coding environments (e.g., Google Colab).

2.3 ABV Dynamics reserves the right to refuse enrollment or dismiss participants for any reason, including inappropriate behavior or failure to meet technical requirements.

3. Program Schedule & Format

3.1 The Program runs from December 1, 2025 – January 11, 2026, with 2–3 hours of live instruction weekly and additional independent projects and assignments.

3.2 ABV Dynamics may adjust schedules, topics, or instructors as needed, without liability to participants.

3.3 Sessions may be recorded for internal use, educational purposes, or promotional purposes, subject to media release consent.

4. Enrollment, Payment, and Refund Policy

4.1 Tuition is $2,499 USD per participant. Payment must be completed in full or as arranged per invoice prior to access.

4.2 Refunds:

  • Full refunds are available if requested prior to program start (December 1, 2025).
  • Partial refunds (50%) may be offered at the discretion of ABV Dynamics if requested within 7 days after to program start.
  • No refunds will be granted after 7 days after program start, except in the case of Program cancellation by ABV Dynamics.

4.3 Payment processing fees and other third-party charges are non-refundable.

4.4 ABV Dynamics reserves the right to cancel the Program at any time. In the event of cancellation, tuition will be refunded in full.

5. Intellectual Property

5.1 All program content, materials, lectures, projects, recordings, slides, and resources are the intellectual property of ABV Dynamics Inc.

5.2 Participants are granted a limited, non-commercial, personal use license to access and complete Program materials.

5.3 Unauthorized reproduction, distribution, resale, or commercial use of Program content is strictly prohibited.

6. Participant Conduct

6.1 Participants are expected to conduct themselves professionally and respectfully in all Program communications and sessions.

6.2 ABV Dynamics may dismiss participants without refund for disruptive, abusive, or illegal behavior.

6.3 Participants are responsible for their own behavior and interactions with other participants. ABV Dynamics is not liable for conflicts or disputes between participants.

7. Liability Disclaimer

7.1 By enrolling, participants acknowledge that they are participating at their own risk.

7.2 ABV Dynamics, its instructors, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages, including but not limited to:

  • Loss of data, hardware, or software
  • Injury, illness, or emotional distress
  • Financial loss, lost opportunities, or third-party claims

7.3 This includes, but is not limited to, damages arising from:

  • Participation in live sessions
  • Downloading, running, or implementing Program materials
  • Use of third-party software or APIs
  • Communications with other participants

7.4 ABV Dynamics does not guarantee any specific learning outcomes, academic success, college admission, or professional results.

8. Minors

8.1 Participants under 18 require parental or guardian consent.

8.2 Parents/guardians agree to supervise minor participants’ participation, including completion of assignments and safe use of computing resources.

8.3 Parents/guardians assume responsibility for minor participants’ conduct, technical readiness, and compliance with these Terms.

9. Privacy and Data

9.1 Participant information is collected for Program administration, communications, and improvement purposes only.

9.2 ABV Dynamics does not sell personal information.

9.3 Participants may be contacted regarding future programs or services unless they opt out.

9.4 Use of participant media (images, voice recordings) requires explicit consent via media release form.

10. Media and Marketing

10.1 ABV Dynamics may use recordings, projects, or participant testimonials in marketing, educational, or promotional materials with consent.

10.2 Participants who decline consent will not have their likeness or work used publicly, but this does not impact Program access.

11. Force Majeure

11.1 ABV Dynamics is not responsible for delays, cancellations, or interruptions caused by events beyond its reasonable control, including but not limited to:

  • Natural disasters, weather, or public emergencies
  • Internet outages, technical failures, or cyberattacks
  • Illness, injury, or personal emergencies of instructor(s)

12. Governing Law and Dispute Resolution

12.1 These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

12.2 Any dispute arising from or related to the Program shall be resolved by binding arbitration in Delaware, in accordance with the rules of the American Arbitration Association (AAA).

12.3 Participants agree to waive any right to class action lawsuits against ABV Dynamics.

13. Amendments

13.1 ABV Dynamics reserves the right to modify these Terms and Conditions at any time.

13.2 Updated Terms will be posted publicly and apply to all participants from the effective date of posting.

14. Acceptance

By submitting an application to the program, participants (or their parent/guardian) acknowledge that they:

  • Have read, understood, and agree to all Terms and Conditions
  • Accept all risks associated with participation
  • Understand the refund, liability, and IP policies outlined herein
